VERIFICATION & DUE DILIGENCE

How we review
and coordinate a deal.

We review the parties, product records and inspection requirements before helping buyers and suppliers agree responsibilities, payment terms and delivery milestones.

01

Define the opportunity.

We establish the commercial brief: product specifications, volume, destination, timing and the parties involved.

Buyer requirements & initial screening
02

Verify the fundamentals.

We review counterparties and proof of product with the parties, then help define a written inspection scope. The parties can arrange SGS or Bureau Veritas inspections where appropriate.

Documentation & inspection scope
03

Structure the agreement.

Buyers and suppliers agree specifications, responsibilities and payment terms. We discuss NCNDA and fee-protection agreements before sensitive introductions.

Agreed commercial & protection terms
04

Coordinate execution.

We facilitate communication between the buyer, supplier, inspection providers and logistics partners through the agreed delivery milestones.

COMPLIANCE & DUE DILIGENCE

Inspection, compliance
and payment terms.

Each transaction needs its own review. Requirements depend on the product, counterparties, jurisdictions and agreed trade terms.

Independent inspection

The parties agree whether to engage SGS, Bureau Veritas or another qualified inspection provider. They define scope, sampling, timing and acceptance criteria before inspection.

Food & agricultural requirements

We review traceability records, food safety documentation and applicable destination-market requirements with the parties, including FDA facility registration where required. Registration does not imply FDA endorsement or approval.

Confidentiality & fee protection

NCNDA and IMFPA arrangements may document confidentiality, non-circumvention and intermediary fees. Their scope and enforceability depend on the executed agreement and applicable law.

Payment & delivery terms

Buyers and suppliers discuss letters of credit, escrow or other payment structures with their banks or providers. They define release conditions in the transaction documents. These arrangements carry risks that the parties must assess.
